Film Submission Agreement

Thank you for your interest in submitting a motion picture to Jackrabbit Media LLC (“Jackrabbit,” “we,” “us,” or “our”).
Jackrabbit accepts submissions of completed and in-production motion pictures for possible acquisition, licensing, distribution, international sales representation, production involvement, or other business opportunities.
Please read this Film Submission Agreement (“Agreement”) carefully before submitting any film, screener, trailer, synopsis, artwork, information, or other materials to Jackrabbit. By checking the acceptance box and submitting materials through our website, you acknowledge that you have read, understand, and agree to this Agreement.
1. ELIGIBLE SUBMISSIONS
Jackrabbit currently accepts submissions of:
- Completed feature-length motion pictures;
- Feature-length motion pictures in post-production; and
- Feature-length motion pictures currently in production.
Unless specifically requested by Jackrabbit, we do not accept unsolicited scripts, screenplays, treatments, pitch decks for unproduced projects, story ideas, concepts, television series pitches, short films, or other development material through this submission portal.
Submission through this portal does not constitute a request by Jackrabbit for any material other than the motion picture and related information described above.
2. AGE AND AUTHORITY TO SUBMIT
You represent and warrant that:
- You are at least eighteen (18) years of age;
- You have the legal capacity to enter into this Agreement;
- You own or control the submitted motion picture and related materials, or you have been duly authorized by the applicable rights holder to submit them to Jackrabbit;
- You have authority to provide Jackrabbit access to the screener and related materials for evaluation;
- Your submission to Jackrabbit does not violate any agreement, obligation, confidentiality restriction, court order, or rights of any third party; and
- The information you provide regarding your authority, the film, its rights, representation, distribution status, and rights availability is accurate to the best of your knowledge.
If you are submitting on behalf of a company, producer, filmmaker, sales company, distributor, rights holder, or other entity, you represent and warrant that you have authority to act on its behalf with respect to the submission and to bind that entity to the applicable provisions of this Agreement.
3. VOLUNTARY SUBMISSION
Your submission is made voluntarily and at your own initiative.
Jackrabbit has not requested or solicited your submission except through its general invitation to submit qualifying motion pictures through this portal.
You understand that Jackrabbit has no obligation to:
- Review your submission;
- Open or access your screener;
- Watch your film in whole or in part;
- Provide notes, feedback, coverage, or an evaluation;
- Respond to your submission;
- Explain a decision concerning your submission;
- Enter into discussions or negotiations with you;
- Make an offer;
- Acquire any rights;
- Distribute the film;
- Represent the film;
- Produce or finance the film; or
- Enter into any business relationship with you.
Receipt of a submission or any automated acknowledgment of receipt does not constitute acceptance of the film for acquisition, distribution, sales representation, production, financing, or any other purpose.
4. NO CONFIDENTIAL RELATIONSHIP
Your submission is not being made or received in confidence.
No confidential, fiduciary, trust, advisory, agency, partnership, joint venture, employment, or other special relationship is created between you and Jackrabbit by your submission.
You understand that Jackrabbit cannot agree to treat the existence, ideas, themes, concepts, story elements, characters, settings, titles, genres, subject matter, techniques, or other elements contained in unsolicited submissions as confidential merely because they have been submitted to us.
You agree that no obligation of confidentiality will be implied from Jackrabbit's receipt, access, review, evaluation, discussion, or retention of your submission.
Nothing in this Agreement, however, gives Jackrabbit ownership of your film or authorizes Jackrabbit to commercially exploit copyrighted material contained in your film without obtaining the applicable rights through a separate agreement.
5. SIMILAR OR IDENTICAL MATERIAL
You acknowledge that Jackrabbit is actively engaged in the motion picture and entertainment business, including acquiring, developing, producing, financing, licensing, selling, marketing, and distributing motion pictures and other entertainment properties.
Jackrabbit may have previously received, reviewed, developed, produced, acquired, licensed, represented, distributed, or considered, or may currently or subsequently receive, review, develop, produce, acquire, license, represent, distribute, or consider, material that is similar or identical in certain respects to your submission.
Such similarities may include, without limitation, similarities in ideas, concepts, premises, themes, genres, titles, characters, character types, settings, situations, plot elements, story structures, dialogue, subject matter, visual concepts, or other elements.
You acknowledge that similarities between your submission and other material do not, standing alone, establish that Jackrabbit copied, used, or obtained such material from your submission.
Jackrabbit's receipt or review of your submission does not restrict Jackrabbit from developing, producing, acquiring, financing, distributing, licensing, selling, representing, marketing, or otherwise exploiting independently created, independently developed, previously known, previously received, or independently obtained material.
6. SUBMISSION RELEASE; NO IMPLIED CONTRACT OR COMPENSATION
You acknowledge and agree that your submission is provided solely for Jackrabbit's evaluation and consideration and is not submitted or disclosed in consideration of, or conditioned upon, any promise or obligation to pay you for the submission, disclosure, review, consideration, or use of any unprotected idea, concept, theme, premise, genre, character type, setting, situation, or other element that is not protected by applicable law.
No contract or promise to compensate you shall be implied from Jackrabbit's receipt, access, review, consideration, discussion, retention, or evaluation of your submission.
No contract for acquisition, distribution, licensing, sales representation, production, financing, compensation, or other exploitation shall arise from the submission itself, from Jackrabbit's review of the submission, or from communications concerning the submission.
Any such obligation must arise from a separate written agreement entered into by the applicable parties.
To the fullest extent permitted by applicable law, you release and discharge Jackrabbit and its parents, subsidiaries, affiliates, successors, assigns, members, managers, officers, directors, employees, representatives, contractors, agents, licensees, distributors, sales agents, production partners, and other persons or entities acting on its behalf (“Jackrabbit Parties”) from claims arising solely from Jackrabbit's receipt, possession, review, evaluation, internal discussion, rejection, or consideration of your submission, or from Jackrabbit's development, production, acquisition, licensing, distribution, representation, marketing, sale, or exploitation of material that was independently created, independently developed, previously known, previously received, or independently obtained.
This release includes claims based upon alleged similarity between your submission and independently created, independently developed, previously known, previously received, or independently obtained material, to the fullest extent such claims may lawfully be released.
Nothing in this Agreement authorizes Jackrabbit to infringe a valid copyright or other right that cannot lawfully be waived, nor does this release excuse Jackrabbit from obligations expressly undertaken in a separate written agreement executed by Jackrabbit.
7. OWNERSHIP OF YOUR FILM
You retain all ownership and rights in and to your submitted film and materials except for the limited evaluation permission expressly provided in this Agreement.
Submitting a film to Jackrabbit does not grant Jackrabbit any distribution rights, sales rights, licensing rights, exhibition rights, ownership rights, copyright interest, remake rights, sequel rights, prequel rights, derivative or adaptation rights, merchandising rights, production rights, or other commercial exploitation rights.
Any acquisition, distribution, licensing, sales representation, production, financing, or other commercial arrangement must be agreed upon separately in writing by the applicable parties.
8. PERMISSION TO REVIEW AND EVALUATE
You grant Jackrabbit a limited, non-exclusive, royalty-free permission to access, reproduce solely as technically necessary, internally display, and review the submitted screener and accompanying materials for purposes of evaluating potential business opportunities involving the film.
This permission includes allowing Jackrabbit's members, managers, officers, employees, acquisition personnel, sales personnel, contractors, consultants, professional advisors, representatives, and other persons reasonably involved in evaluating the submission to access the submitted materials as reasonably necessary for that evaluation.
This permission is solely for evaluation and internal business purposes and does not authorize public exhibition, commercial distribution, sale, licensing, publication, or other commercial exploitation of your film.
9. SUBMITTED MATERIALS
Your submission may include information and materials such as:
- Film title;
- Synopsis;
- Production status;
- Runtime;
- Genre;
- Country of origin;
- Language;
- Cast and filmmaker information;
- IMDb or similar industry links;
- Trailer links;
- Festival and award information;
- Distribution and sales information;
- Rights availability;
- Screener links;
- Screener passwords or access credentials;
- Contact information;
- Company information; and
- Additional information you voluntarily provide.
Please do not submit materials or information that are not reasonably necessary for Jackrabbit to evaluate the film.
10. SCREENER LINKS AND PASSWORDS
If you provide a private screener link, password, access code, or similar credential, you authorize Jackrabbit to use that credential solely for accessing and evaluating the submitted film and related internal acquisition activities.
Jackrabbit may store screener links and credentials in its internal acquisition and business systems and make them available to personnel and representatives reasonably involved in evaluating the submission.
You are responsible for maintaining the availability of your screener and for ensuring that the screener link and password remain functional during the evaluation period.
You may change or disable your screener credentials at any time. Doing so may prevent Jackrabbit from completing its evaluation.
11. SECURITY
Jackrabbit will use reasonable administrative and technical measures appropriate to its operations to protect submitted information and screener credentials from unauthorized access, use, or disclosure.
However, no internet transmission, electronic communication, database, or electronic storage system can be guaranteed to be completely secure. Accordingly, Jackrabbit cannot guarantee absolute security of information transmitted or stored electronically.
You should not submit highly sensitive personal information, financial information, government identification numbers, or other information unnecessary for evaluation of your film.
12. THIRD-PARTY MATERIALS AND RIGHTS
You represent and warrant that you have the authority necessary to provide Jackrabbit with access to the submitted film and related materials for evaluation.
Your submission must not knowingly contain or include materials that you are prohibited from sharing with Jackrabbit.
Jackrabbit's acceptance or review of a submission does not constitute a determination, representation, or warranty by Jackrabbit that the film has been fully cleared for commercial exploitation.
If Jackrabbit becomes interested in acquiring, distributing, licensing, selling, representing, producing, or otherwise exploiting the film, additional rights documentation, chain-of-title materials, releases, music documentation, copyright information, errors and omissions documentation, delivery materials, and other customary documentation may be requested separately.
13. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless the Jackrabbit Parties from and against any third-party claims, demands, actions, proceedings, damages, judgments, liabilities, losses, settlements, penalties, costs, and reasonable attorneys' fees and expenses arising out of or relating to:
- Your breach or alleged breach of any representation, warranty, covenant, or obligation contained in this Agreement;
- Your lack of authority to submit the film or related materials;
- Any claim by an owner, producer, filmmaker, writer, performer, investor, distributor, sales agent, financier, licensor, guild, union, or other third party alleging that you were not authorized to submit the film or materials to Jackrabbit;
- Your submission of materials that you were contractually or legally prohibited from providing to Jackrabbit;
- Any materially false or misleading information supplied by you concerning the film, your authority, ownership or control of rights, rights availability, or existing distribution, licensing, sales, or representation arrangements; or
- Your violation of applicable law or the rights of a third party in connection with your submission.
Jackrabbit will provide reasonable notice of any indemnified claim and may participate in the defense through counsel of its choosing.
You may not settle an indemnified claim in a manner that admits wrongdoing or imposes any obligation, restriction, liability, or payment upon a Jackrabbit Party without Jackrabbit's prior written consent.
The obligations in this Section survive withdrawal, rejection, deletion, or other disposition of the submission and termination of this Agreement.
14. NO REPRESENTATION REGARDING ACQUISITION
A submission being reviewed, discussed internally, advanced to another stage, or discussed with you does not constitute an offer or commitment by Jackrabbit.
Statements of interest, requests for additional materials, meetings, calls, emails, negotiations, or other communications do not create a binding acquisition, distribution, sales, production, financing, or licensing agreement unless and until the applicable parties enter into a separate written agreement intended to create such obligations.
15. NO COMPENSATION FOR SUBMISSION OR REVIEW
You will not be entitled to any fee, compensation, reimbursement, royalty, participation, credit, or other payment merely because Jackrabbit receives, stores, accesses, reviews, discusses, evaluates, considers, or declines your submission.
The submission is not tendered to Jackrabbit on the condition, express or implied, that you will be paid for disclosure, review, evaluation, or consideration of the submission or any unprotected ideas or concepts contained in it.
Any compensation associated with a subsequent acquisition, license, distribution arrangement, sales representation arrangement, production arrangement, or other transaction will be governed exclusively by the applicable separate written agreement.
16. SUBMISSION RECORDS AND RETENTION
Jackrabbit may maintain records relating to your submission for legitimate business, administrative, legal, security, recordkeeping, and acquisition purposes.
These records may include the information you submitted, the date and time of submission, internal evaluation status, internal notes, communications, the version of this Agreement accepted by you, and records demonstrating your electronic acceptance.
Jackrabbit may retain records of declined, withdrawn, inactive, or completed submissions where reasonably necessary for business records, legal compliance, dispute prevention or resolution, security, or to maintain a history of material previously submitted to Jackrabbit.
Retention and deletion of personal information will also be governed by Jackrabbit's Privacy Policy and applicable law.
17. PERSONAL INFORMATION AND PRIVACY
Information submitted through the acquisition portal may be collected and used for purposes including:
- Receiving and processing your submission;
- Evaluating the film;
- Communicating with you regarding the submission;
- Maintaining acquisition records;
- Managing Jackrabbit's internal acquisition workflow;
- Preventing duplicate submissions;
- Maintaining records of previous submissions and business dealings;
- Protecting Jackrabbit's legal rights;
- Maintaining security; and
- Complying with applicable legal obligations.
Jackrabbit may use internal systems and third-party service providers to host, process, transmit, secure, or otherwise support submission information as reasonably necessary to operate its business.
The collection, use, storage, disclosure, retention, and deletion of personal information is further described in Jackrabbit Media's Privacy Policy.
18. MARKETING AND NEWSLETTER COMMUNICATIONS
Submitting a film does not require you to consent to marketing communications.
If Jackrabbit offers you the opportunity to subscribe to its newsletter or other marketing communications, that consent will be requested separately from your acceptance of this Agreement.
Choosing not to receive marketing communications will not prevent you from submitting a film and will not affect Jackrabbit's evaluation of your submission.
If you separately elect to receive marketing communications, you may unsubscribe at any time using the unsubscribe mechanism provided in the communication or another method made available by Jackrabbit.
Operational communications relating specifically to your submission may still be sent regardless of your marketing preferences.
19. ELECTRONIC COMMUNICATIONS AND ACCEPTANCE
By submitting your film electronically, you consent to conducting the submission transaction electronically.
By checking the box indicating your acceptance of this Agreement and clicking the submission button, you intend your electronic action to constitute your acceptance of and electronic signature to this Agreement.
Jackrabbit may maintain electronic records showing, as applicable:
- Your name;
- Email address;
- Submission identification number;
- Date and time of acceptance;
- Agreement version;
- Privacy Policy version;
- Submission source;
- Marketing consent status;
- Internet Protocol (IP) address and other technical information reasonably associated with the submission; and
- Other information reasonably used to document the submission and acceptance process.
You may retain or print a copy of this Agreement for your records.
20. WITHDRAWING A SUBMISSION
You may contact Jackrabbit to advise us that you no longer wish the film to remain under active consideration.
Withdrawal will end Jackrabbit's active evaluation of the submission where reasonably practicable, but it does not require deletion of historical submission records that Jackrabbit is permitted or required to retain for legitimate business, legal, security, compliance, dispute-prevention, or recordkeeping purposes.
Withdrawal of a submission does not affect any rights, releases, representations, warranties, indemnification obligations, dispute-resolution provisions, or other provisions of this Agreement that by their nature are intended to survive withdrawal.
Withdrawal does not affect any separate agreement previously entered into between you and Jackrabbit.
21. DISPUTE RESOLUTION; IFTA ARBITRATION
Any dispute, controversy, or claim arising out of or relating to this Agreement, your submission, Jackrabbit's receipt, review, consideration or rejection of your submission, or the relationship created by the submission, including any question concerning the existence, interpretation, validity, enforceability, breach, or termination of this Agreement, shall be resolved by final and binding arbitration pursuant to the Rules for IFTA Arbitrations then applicable to the dispute.
The forum and situs of the arbitration shall be Los Angeles County, California, and the arbitration shall be governed by and conducted under the laws of the State of California.
The parties agree to abide by the final decision and award rendered in the arbitration.
Notwithstanding the foregoing, either party may apply to a court of competent jurisdiction in Los Angeles County, California for interim or provisional relief as permitted by the applicable IFTA Rules, to compel arbitration, or to confirm, challenge, recognize, or enforce an arbitration award.
To the fullest extent permitted by applicable law, each party waives the right to have disputes subject to this arbitration provision decided by a judge or jury.
22. GOVERNING LAW AND FORUM
This Agreement and any dispute arising out of or relating to it or your submission shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict-of-laws principles.
The designated forum is Los Angeles County, California.
For any matter permitted under Section 21 to be brought before a court rather than determined in arbitration, the parties consent to the exclusive jurisdiction of the applicable state or federal courts located in Los Angeles County, California.
23. SEVERABILITY
If any provision of this Agreement is determined to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent permitted by applicable law and, where appropriate, modified only to the minimum extent necessary to make it enforceable.
The invalidity or unenforceability of one provision will not affect the validity or enforceability of the remaining provisions.
24. ENTIRE AGREEMENT REGARDING SUBMISSION
This Agreement, together with the applicable provisions of Jackrabbit's Privacy Policy, constitutes the entire agreement between you and Jackrabbit concerning the submission of materials through this acquisition portal and supersedes any prior or contemporaneous oral or written statements, understandings, or communications concerning the submission itself.
No oral statement, email, telephone conversation, meeting, acknowledgment, review status, or other communication will modify this Agreement unless expressly stated in a writing authorized by Jackrabbit.
This Agreement does not replace, modify, or supersede any separate written acquisition, distribution, sales, licensing, production, financing, or other agreement subsequently entered into between you and Jackrabbit.
25. ASSIGNMENT
You may not assign or transfer your rights or obligations under this Agreement without Jackrabbit's prior written consent.
Jackrabbit may assign or transfer this Agreement, its rights hereunder, and records relating to the submission in connection with a merger, acquisition, corporate reorganization, sale of substantially all of its assets, sale or transfer of the applicable business or assets, or to an affiliate, successor, or entity under common control.
Subject to the foregoing, this Agreement will bind and benefit the parties and their respective permitted successors and assigns.
26. SURVIVAL
Any provisions that by their nature are intended to survive withdrawal, rejection, completion of evaluation, deletion of active submission materials, or termination of this Agreement shall survive, including provisions concerning representations and warranties, submission release, no implied contract or compensation, ownership, indemnification, historical records, dispute resolution, governing law, assignment, and any accrued rights or obligations.
27. CHANGES TO THIS AGREEMENT
Jackrabbit may revise this Film Submission Agreement from time to time.
The version applicable to a submission will be the version presented to and accepted by the submitter at the time that submission is made.
Jackrabbit may maintain archived versions of this Agreement and records identifying the version accepted for each submission.
A subsequent change to this Agreement will not retroactively replace the version accepted for an earlier submission unless the parties expressly agree otherwise.
